About the Canadian Sepsis Foundation
The Canadian Sepsis Foundation is a national charitable organization led by sepsis survivors, family partners, critical care specialists, researchers, and volunteers. Sepsis is a life-threatening response to infection that can progress rapidly. Early recognition and treatment can save lives. Our mission is to help Canadians understand the signs and risks of sepsis and to strengthen public awareness, prevention and advocacy across Canada.
About Board Members
Individual persons who are interested in furthering the Canadian Sepsis Foundation’s purpose and provide mission-based leadership, strategic governance and financial support to the organization. Board members are voting members.
Membership Fee: Voluntary pledge commitment (minimum amount: ?????????)
Membership Term: Annually on January 1
Responsibilities & Duties
Leadership, governance, and oversight
Act as an ambassador for Canadian Sepsis Foundation
Attend board meetings. There are regular bi-monthly meetings of the Board. It is expected that board members will attend at least 75% of these virtual meetings and make every effort to attend the in-person board meetings (one per year).
Serve on at least one Board committee. Board Members may elect to serve on multiple committees and if requested and able, to serve as a committee chair.
Review and approve Canadian Sepsis Foundation’s strategic and business plans and review metrics used to evaluate the organization’s performance and effectiveness.
Suggest potential new Board Members.
Approve Canadian Sepsis Foundation’s annual budget, tax returns, audit reports, and material business decisions.
Abide by Canadian Sepsis Foundation’s policies and procedures
Stay informed of, and meet all, legal and fiduciary responsibilities.
Financial and Fundraising:
Board service implies a commitment of board members’ time, talent, and treasure. Board members will consider Canadian Sepsis Foundation a top philanthropic priority and their gifts to Canadian Sepsis Foundation will reflect their passion for Canadian Sepsis Foundation and our mission. Canadian Sepsis Foundation expects to have 100% of board members make contributions that are commensurate with their capacity and make a pledge upon joining the board and in each subsequent year of service.
It is understood that all board members are unique and can provide a range of time, talent, and treasure. Some board members may have a significant personal financial and/or network capacity to give, while other members may be less able to make or secure large financial contributions. In these latter cases, the board and management will work with the members to fully leverage their time and talent and to identify other ways to help generate financial support for the organization.
In addition to personal financial support, board members are asked to fundraise by means of soliciting gifts from their personal and professional networks, providing in-kind services and resources, securing items or experiences for auctions, and helping to bring new funders to Canadian Sepsis Foundation.
Composition
The officers consist of:
Chair of the Board: The chair of the Board, if one is to be appointed, shall be a director. The chair of the Board, if any, shall, when present, preside at all meetings of the Board and of the members. The chair shall have such other duties and powers as the Board may specify.
Vice-Chair of the Board: If the chair of the Board is absent or is unable or refuses to act, the vice-chair of the Board, if any, shall, when present, preside at all meetings of the board of directors and of the members. The vice-chair of the Board, if one is to be appointed, shall be a director. The vice-chair shall have such other duties and powers as the Board may specify.
President: If appointed, the president shall be the chief executive officer of the Corporation and shall be responsible for implementing the strategic plans and policies of the Corporation. The president shall, subject to the authority of the Board, have general supervision of the affairs of the Corporation.
Vice-President: If appointed, the vice-president shall have such powers and duties as the directors may specify.
Secretary: If appointed, the secretary shall attend and be the secretary of all meetings of the Board, members and committees of the Board. The secretary shall enter or cause to be entered in the Corporation's minute book, minutes of all proceedings at such meetings; the secretary shall give, or cause to be given, as and when instructed, notices to members, directors, the public accountant and members of committees; the secretary shall be the custodian of all books, papers, records, documents and other instruments belonging to the Corporation.
Treasurer: If appointed, the treasurer shall have such powers and duties as the Board may specify.
